Code of Conduct Policy


Maine Ad + Design (“MADE”) is committed to conducting its affairs honestly and with integrity
and is dedicated to providing a safe environment to work, meet, learn, and share ideas. This
commitment applies to our members of the Board of Directors (“Directors”), Members,
volunteers, employees, committee members, and event attendees.


All Directors, Members, officers, committee members, volunteers, agents and employees are
expected to adhere to the Code of Conduct Policy (the “Policy”) in all of their dealings with each
other, our vendors, and event attendees to ensure actions are in the overall best interests of all.
Directors are also expected to assist in ensuring the Code of Conduct is followed.


This Policy applies to all Directors, Members, officers, committee members, volunteers, agents
and employees of MADE, who are acting in the course of carrying out MADE’s activities.
MADE’s activities include but are not limited to MADE events, engagement on the MADE slack
channel, committee meetings, Member meetings, and Board of Directors meetings. All
Directors, Members, officers, committee members, volunteers, and agents of MADE agree to the
following when acting in the course of carrying out MADE activities:

  1. To behave honestly and with integrity.

  2. To act with care and diligence.

  3. To comply with all federal, state and local laws and regulations applicable to
    MADE.

  4. To treat everyone with respect and courtesy and without harassment.

    1. Harassment and bullying behaviors will not be tolerated. Harassment comes in
      many forms, including but not limited to; verbal, sexual, physical, or emotional
      harassment.

    2. Conduct that will be considered a violation of the Policy includes but is not
      limited to:

      1. Violent threats or language directed against another person;

      2. Discriminatory jokes and language;

      3. Posting or sharing sexually explicit or violent materials;

      4. Posting or threatening to post a person’s personally identifying
        information (“doxing”);

      5. Personal insults, particularly those related to gender, sexual orientation,
        race, religion, or disability;

      6. Unwelcome sexual attention, which includes sexualized comments or
        jokes, inappropriate touching, groping, and unwelcomed sexual advances;

      7. Repeated harassment of others;

      8. Inappropriate photography or recording;

      9. Deliberate intimidation, stalking or following (online or in person);

      10. Sustained disruption of community events, including talks and presentations; and

      11. Advocating for, or encouraging, any of the above behavior.

  5. To respect the confidentiality of information acquired in the course of the performance of
    his or her responsibilities except when authorized or otherwise legally obligated to
    disclose.

  6. To comply with MADE’s policies.

  7. To behave in a manner that upholds MADE’s values and good reputation.

  8. To report all known or suspected violations of this Policy or other acts
    described in the MADE’s policy on suspected misconduct

    In the fulfillment of these requirements, every Director, Member, officer, committee
    member, volunteer, agents and employee of MADE should be able to unequivocally answer
    “yes” in response to each of the following questions with respect to all of their activities
    carried out as a representative of MADE:
    1. Is my action legal and in compliance with all applicable laws and regulations?
    2. Is my action ethical?
    3. Does my action comply with MADE’s policies and principles?
    4. Am I sure that my action does not in any way appear to be inappropriate to anyone
    who may observe my behavior?
    5. Am I sure that my action meets my personal code of ethics and behavior?
    6. In the event that my actions became public knowledge, would I feel comfortable
    defending them?

    1. Interpretation of The Code of Conduct Policy and Alleged Offenses


Requests for interpretation and the intent of the Policy may be made by submitting requests and
questions to the President of MADE who will determine the appropriate course of action and
respond to the request.
Any alleged violation of the Policy shall be reported to the President or a Director of MADE. In
the event that an alleged violation of the Policy is against the President or a Director, the
allegation shall be reported to the Vice President or a Director who is not also the alleged
offender of the Policy. Upon receiving notice of the alleged violation, the matter shall be brought
to the Board of Directors and discussed by the Board at one of the next two regularly scheduled
meetings of the Board after the notice of the alleged violation is received. The Board of
Directors shall vote on a course of action within a reasonable time of learning of the alleged
violation, in the Board’s sole discretion. In the event the alleged violation is against one of the
Directors or officers, the alleged non-compliant Director or officer shall not have a vote in
determining the course of action for said matter, and the Director or officer shall not be present
for the vote.
The Board of Directors have sole discretion to determine the consequences for those found to be
in violation of the policy, which may include but are not limited:

- For Members, having his, her, or their membership revoked, in which case the Member’s
membership fees may be forfeited to MADE and the violating Member shall not have
right to a refund of said membership fees;
- Removal and/or temporary or permanent suspension from all MADE activities;
- For Directors, removal from his, her, or their position on the Board of Directors; or
- For officers or Committee members, removal from his, her, or their officer of Committee
position.
